UBO registration not yet in order?

The UBO deadline is approaching fast. Before March 27, 2022, existing BVs, NVs, foundations and other legal entities must be registered in the UBO register. ‍What does a UBO registration involve?

Our UBO registration process consists of three phases:

1. First, we establish how many entities are involved, which legal forms they take, and who legally qualifies as a UBO within each entity. In a BV, for instance, someone qualifies as a UBO when they hold more than 25% of the shares, voting rights or economic interest.

2. Next, we start the online identification process, in which each UBO can register through an efficient workflow.

3. Once every UBO has been identified and registered, we complete the process with a civil-law notary who files the registration directly with the Chamber of Commerce. Each entity then receives a separate extract from the Chamber of Commerce confirming the registration.

How much time is left to arrange the UBO registration? 

Organizations in the Netherlands must be registered in the UBO register before March 27. It is worth knowing that only a relatively small share of the country's 1.5 million companies has done so to date. The Chamber of Commerce is therefore urging companies to arrange this as soon as possible, to avoid applications being processed well beyond the statutory deadline.
